Terms of Service

The rules, rights, and responsibilities that govern your use of the Veluni Health platform — for both clinic administrators and the patients they serve.

Acceptance of Terms

By accessing or using the Veluni Health platform — including the scheduling bot, clinic dashboard, patient booking pages, onboarding wizard, or any associated API — you agree to be bound by these Terms of Service ("Terms"). If you are registering a clinic on behalf of a legal entity, you represent that you have the authority to bind that entity to these Terms, and "you" refers to that entity.

If you do not agree to these Terms, you must not use the platform. Continued use after any update to these Terms constitutes your acceptance of the revised version.

These Terms should be read alongside our Privacy Policy, which explains how we collect and protect personal data. Together, they form the complete agreement between you and Veluni Health.

Platform Description

Veluni Health is a software-as-a-service ("SaaS") platform that provides dental and healthcare clinics with a patient-facing booking website, an AI-powered appointment scheduling chatbot, and a management dashboard. The platform is made available at app.velunihealth.com.

Veluni Health is a technology provider only. We are not a healthcare provider, medical practice, or licensed health professional. We do not provide medical advice, diagnoses, or treatment recommendations. The scheduling, appointment management, and patient communications facilitated through our platform are entirely the responsibility of the subscribing clinic.

We reserve the right to modify, suspend, or discontinue any feature of the platform at any time with reasonable notice. We will not be liable to you or any third party for any modification, suspension, or discontinuance of features, provided that we continue to deliver the core scheduling and dashboard services described in your active subscription plan.

Eligibility & Accounts

To register as a clinic administrator, you must be at least 18 years of age and legally capable of entering into binding contracts in your jurisdiction. You must provide accurate, current, and complete information during onboarding and keep it up to date.

You are responsible for maintaining the confidentiality of your dashboard credentials (username and password). You must not share credentials with unauthorized personnel or allow your account to be used by anyone who has not agreed to these Terms. You are solely responsible for all activity that occurs under your account.

If you believe your account has been compromised, you must notify us immediately at contact@velunihealth.com. We reserve the right to suspend any account we reasonably suspect has been accessed without authorization.

One account per clinic location. If you manage multiple clinic locations, each location requires its own Veluni Health subscription. Using a single account to operate multiple physical locations without the appropriate plan is a violation of these Terms.

Clinic Responsibilities

As the clinic administrator, you are the data controller for patient data collected through your Veluni Health bot and dashboard. This means you — not Veluni Health — bear legal responsibility for:

  • Ensuring that your collection and use of patient data complies with all applicable laws in your jurisdiction, including Brazil's LGPD, the EU GDPR, and any applicable health data regulations.
  • Maintaining the accuracy of all information configured in your bot — including doctor names, specialties, availability schedules, and minimum patient age settings. Incorrect configuration that causes a patient to be misdirected, overbooked, or denied care is the clinic's responsibility.
  • Ensuring that patients who interact with your bot have been informed that they are communicating with an AI assistant, in accordance with any applicable consumer transparency laws.
  • Complying with all professional licensing, health authority regulations, and medical practice standards that apply to your clinic and jurisdiction.
  • Promptly responding to human handoff requests that are routed through the dashboard, including messages from patients who have been escalated from the AI bot to a human agent.
  • Keeping your subscription payment method current and ensuring timely payment for your selected plan.

Veluni Health acts as a data processor on your behalf under applicable data protection law. Our obligations as processor are governed by our Privacy Policy and any applicable data processing agreements.

Patient Use

Patients who interact with a clinic's Veluni Health scheduling bot do so as users of that clinic's deployment of the platform. The clinic — not Veluni Health — is responsible for the scheduling service the patient receives.

Patients must provide accurate personal information — including name, date of birth, phone number, and email — when interacting with the scheduling bot. Providing false information may result in your appointment being cancelled or your access to the scheduling service being restricted.

The scheduling bot is an automated assistant. It does not provide medical advice and is not a substitute for consulting a licensed healthcare professional. Appointment confirmation via the bot does not guarantee clinical availability and is always subject to the clinic's own confirmation processes.

Subscriptions & Billing

Veluni Health offers the following subscription plans. Plan limits are enforced automatically by the platform.

All payments for paid plans are processed by Stripe. By subscribing to a paid plan, you authorize Stripe to charge your payment method on a recurring basis. Veluni Health never stores or handles raw payment card data.

Subscriptions renew automatically at the end of each billing cycle unless cancelled before the renewal date. You may cancel at any time via the billing portal in your dashboard. Cancellation takes effect at the end of the current billing period — you will retain access to your plan's features until then.

If a recurring payment fails, your account enters a grace period of 7 days. During the grace period, all platform features remain active. If payment is not resolved within the grace period, your account will be suspended and patient-facing scheduling will be disabled. Your data is retained for 30 days after suspension, after which it may be permanently deleted.

All subscription fees are non-refundable except where required by applicable law. If you believe you were charged in error, contact us at contact@velunihealth.com within 14 days of the charge.

⚠️

A warning email is automatically sent when you reach 80% of your monthly appointment quota. When the quota is reached, new appointment bookings will be blocked until the next billing cycle begins. Upgrade your plan at any time to increase your limits immediately.

Intellectual Property

All rights, title, and interest in and to the Veluni Health platform — including the software, source code, algorithms, AI bot logic, dashboard interface, API, documentation, branding, and all associated intellectual property — are and remain the exclusive property of Veluni Health and its licensors. Nothing in these Terms grants you any ownership rights in the platform.

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the platform solely for the purpose of operating your clinic's scheduling services as described in your subscription plan. You may not copy, modify, distribute, sell, sublicense, reverse-engineer, or create derivative works from any part of the platform.

Content you create within the platform — such as your clinic's FAQ entries, doctor catalog, and configuration settings — remains your property. You grant Veluni Health a limited license to store and process this content solely to deliver the platform services to you.

Patient data collected through your clinic's bot belongs to your patients. You, as the data controller, are responsible for it. Veluni Health processes it only on your behalf and in accordance with our Privacy Policy.

Acceptable Use

You agree not to use the Veluni Health platform for any purpose that is unlawful, harmful, or prohibited by these Terms. Specifically, you must not:

  • Use the platform to schedule services you are not licensed or legally authorized to provide in your jurisdiction.
  • Attempt to gain unauthorized access to any part of the platform, other clinics' accounts, or our infrastructure — including through automated scraping, injection attacks, or brute-force methods.
  • Use the platform to collect patient data for any purpose other than operating your legitimate clinical scheduling practice.
  • Impersonate another clinic, entity, or individual through the platform.
  • Introduce malware, viruses, or any malicious code into the platform.
  • Use the platform in a way that could damage, overload, or impair the infrastructure, including actions that generate excessive automated traffic to our servers.
  • Resell, sublicense, or commercially redistribute the platform or any part of it to third parties without our written consent.
  • Use the demo clinics ("default", "default-es", "default-ptbr") for real patient scheduling. Demo environments are provided for evaluation only and process no real data.

We reserve the right to investigate any suspected violation and to suspend or terminate accounts that breach these rules without prior notice.

AI Bot Disclaimer

The Veluni Health scheduling bot is an AI-powered assistant designed to help patients book, reschedule, and cancel appointments. It operates based on the configuration provided by the clinic, including doctor availability, FAQ content, and scheduling rules.

The bot does not provide medical advice. It does not diagnose conditions, recommend treatments, or evaluate patient symptoms. Any information communicated by the bot that appears to relate to a patient's health is strictly limited to administrative scheduling context (such as minimum patient age for certain procedures as configured by the clinic).

The bot may misinterpret patient input, fail to extract information correctly, or make scheduling errors — particularly with unusual name formats, ambiguous dates, or out-of-scope requests. Clinics are responsible for monitoring their dashboard and correcting any scheduling errors that come to their attention. Veluni Health is not liable for clinical or commercial harm caused by bot misinterpretation.

The bot is a scheduling tool, not a clinical system. It is the clinic's responsibility to confirm appointments through their dashboard and to maintain adequate human oversight of the scheduling process. Veluni Health strongly recommends that clinics review their appointment dashboard daily.

Warranties & Liability

The Veluni Health platform is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the platform will be uninterrupted, error-free, or free from security vulnerabilities.

To the maximum extent permitted by applicable law, Veluni Health's total liability to you for any claim arising out of or related to these Terms or the platform — whether in contract, tort, or otherwise — shall not exceed the total fees paid by you to Veluni Health in the twelve (12) months immediately preceding the event giving rise to the claim.

In no event shall Veluni Health be liable for any indirect, incidental, special, punitive, or consequential damages, including but not limited to: loss of revenue or profits, loss of patient data, loss of business opportunity, or reputational harm — even if Veluni Health has been advised of the possibility of such damages.

These limitations do not apply to the extent prohibited by mandatory consumer protection law, including Brazil's Código de Defesa do Consumidor (Law 8.078/1990) or equivalent statutes in other jurisdictions. Nothing in these Terms excludes liability for fraud, gross negligence, or willful misconduct by Veluni Health.

Indemnification

You agree to defend, indemnify, and hold harmless Veluni Health and its affiliates, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses — including reasonable legal fees — arising out of or in any way connected with:

  • Your use of the platform in violation of these Terms or applicable law.
  • Your clinic's processing of patient personal data, including any breach of data protection obligations.
  • Any claim by a patient arising from the clinical services your clinic provides (or fails to provide), whether or not scheduled through Veluni Health.
  • Any misrepresentation you make to patients about your clinic's services, credentials, or availability.
  • Your violation of any third-party rights, including intellectual property rights.

Termination

You may terminate your account at any time by cancelling your subscription through the billing portal in your dashboard. Upon cancellation, your account remains active until the end of the current billing period, after which access to the platform will cease.

Veluni Health may suspend or permanently terminate your account immediately and without prior notice if: (a) you materially breach these Terms; (b) your payment remains overdue beyond the 7-day grace period; (c) we determine that your use of the platform poses a legal, security, or reputational risk; or (d) we are required to do so by law or regulatory authority.

Upon termination for any reason, your right to access the platform ceases immediately. We will retain your clinic data for 30 days following termination to allow for data export requests. After this period, all data — including patient records, appointment history, and configuration — will be permanently deleted from our systems.

Sections of these Terms that by their nature should survive termination — including Intellectual Property, Indemnification, Warranties & Liability, and Governing Law — will continue to apply after termination.

Governing Law

These Terms are governed by and construed in accordance with the laws of Brazil, without regard to its conflict of law principles. For disputes involving Brazilian users, the courts of São Paulo, Brazil shall have exclusive jurisdiction.

For users located in the European Economic Area, Spain, or other jurisdictions with mandatory consumer protection laws, nothing in this governing law clause limits your right to bring claims in your local courts under applicable mandatory law protections.

Before initiating any legal proceedings, both parties agree to attempt to resolve any dispute in good faith through direct negotiation. Please contact us first at contact@velunihealth.com — we are committed to resolving issues fairly and quickly.

Changes to These Terms

We may update these Terms from time to time to reflect changes in the platform, applicable law, or our business practices. When we make material changes, we will update the "Last updated" date at the top of this page and notify active subscribers by email at least 14 days before the changes take effect.

Your continued use of the platform after the effective date of the revised Terms constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must cancel your subscription and stop using the platform before the effective date.
